Domestic Steel Producer & Recycler Selects New Flat Roll Mill Site

A domestic steel producer and metals recycler chose Sinton, Texas, as the site for the company’s new electric-arc-furnace (EAF) flat roll steel mill.

Steel Dynamics, Inc., a carbon steel producer which also owns Vulcan Steel Products that services the heat treat industry, recently announced its preferred choice as the Sinton location, 30 miles northwest of the port of Corpus Christi, Texas, because it is strategically located within the targeted Southwest U.S. and Mexico market regions; it’s central to the largest domestic consumption of flat roll Galvalume® and construction painted products; and it provides sufficient acreage to allow customers to locate on-site, providing steel mill volume base-loading opportunities.

Mark D. Millett
President and CEO
Steel Dynamics, Inc.

“We have been developing a flat roll steel business strategy for this region and Mexico for several years,” said Mark. D. Millett, President and Chief Executive Officer, “and the team is ready to execute.  We have extensive experience and a proven track record for successfully constructing and operating EAF steel mills and downstream value-add finishing lines.  Our planned new EAF flat roll steel mill will be the most technologically advanced facility existing today.”

SBQ Alloy Manufacturer Acquired by Steel Producer

A U.S. steel producer recently announced the completion of the acquisition of substantially all of the assets of a manufacturer of special bar quality (SBQ) alloy and carbon steel bar flats.

Glenn Pushis, Senior Vice President, Long Products Steel Group

The assets of Kentucky Electric Steel acquired by Steel Dynamics are located outside of Ashland, Kentucky, and are comprised of a rolling mill with an annual capacity of 250,000 tons.  The operations were closed earlier this year by the prior owner, and Steel Dynamics plans to reopen the rolling mill in November 2018.  The facility will be operated as part of Steel Dynamics’ Steel of West Virginia (“SWVA”) operations, which is located within 20 miles of Ashland.  The acquisition will provide product diversification for SWVA through the addition of flats and specialty alloy bars.

“KES has been a loyal customer of our SWVA and Roanoke Bar divisions,” said Glenn Pushis, Senior Vice President, Long Products Steel Group.  “We believe that the complementary product offerings will provide value to our customers.  We currently anticipate that roughly 100,000 to 150,000 tons of billets will be shipped each year from our long products steel mills to be further processed at Ashland, providing additional value-added capability and higher through-cycle utilization for our steel mills.”

Indiana Steel Operations Changing Hands, Includes Galvanizing Line

An Indiana steelmaker recently acquired the flat roll operations of steel producer of hot roll coils, located in Terre Haute, Indiana, including the company’s continuous pickle line, a cold mill, and a galvanizing line.

Mark D. Millett, Steel Dynamics’ chief executive officer

Steel Dynamics, based in Fort Wayne, entered into a definitive agreement to purchase Companhia Siderurgica Nacional, LLC (“Heartland”) from CSN Steel, S.L.U., a whole owned subsidiary of Companhia Siderurgica Nacional (CSN), which expands Steel Dynamics’ annual flat roll steel shipping capacity to 8.4 million tons. Future plans are to utilize the full capacity of the facility, providing high-quality cold roll, pickle and oil, and galvanized products.  The geographic proximity to Steel Dynamics’ other flat-roll operations and certain fabrication locations provide opportunities related to logistics and production efficiencies throughout the supply chain and customer network.

“In combination with our current operations, Heartland brings a tremendous amount of operating flexibility and optionality,” said Mark D. Millett, Steel Dynamics’ chief executive officer. “We look forward to welcoming the Heartland employees and customers into the Steel Dynamics family and working with them to drive future growth and success.”

Steel Dynamics to Acquire Vulcan Threaded Products to Expand SBQ Finishing Capabilities

Steel Dynamics, Inc. (NASDAQ-GS: STLD) today announced that it has entered into a definitive agreement to acquire 100% of Vulcan Threaded Products, Inc. (“Vulcan”). Established in 1978, Vulcan is based outside of Birmingham, Alabama and is the nation’s largest manufacturer and supplier of threaded rod products, and also produces cold drawn and heat treated bar. Steel Dynamics plans to purchase Vulcan for $126 million, inclusive of $42 million in working capital, which is subject to typical post-closing adjustments. The purchase price will be paid in cash from available funds. The transaction is expected to be immediately accretive to 2016 earnings and cash flow per share.

“During 2015, we identified the pursuit of higher-margin downstream business opportunities that utilize our steel products in their manufacturing processes, as one of our target growth objectives,” stated Mark D. Millett, President and Chief Executive Officer. “A strategy intended to reduce volatility during both strong and weak market cycles, given steel raw material supply optionality. During weak steel demand environments these businesses could purchase steel internally from our own mills, thus increasing SDI’s steel mill utilization. As a consumer of special-bar-quality products currently produced at our Engineered Bar Products Division, Vulcan depicts this model perfectly and fits well within our core operating strengths.”

Vulcan has a diversified product line, evenly distributed amongst threaded steel rod, cold finished bar processing and heat treated bar. It shipped approximately 89,000 tons of these products during the trailing twelve month period ended March 31, 2016. Historically Vulcan has purchased nearly 20,000 tons of steel from the company’s Engineered Bar Products Division (“EBD”). Based on capabilities, Steel Dynamics believes this internal volume could grow in the near term to between 30,000 and 50,000 tons, or just under ten percent of EBD’s total 2015 shipments.

“Vulcan has been a valued customer of our Engineered Bar Products Division for over a decade. I congratulate Bill and Kent Upton on the creation of a tremendous company and team. We are looking forward to welcoming the employees and customers of Vulcan into the Steel Dynamics family. We are excited to add the quality of Vulcan’s brand and products to our portfolio,” concluded Millett.

The transaction is valued at approximately 5.0 times trailing twelve month March 31, 2016 EBITDA, excluding potential income tax-related benefits. The transaction is subject to customary conditions and receipt of regulatory approvals. Steel Dynamics expects to obtain all necessary regulatory approvals and complete the transaction by August 2016.
